Terms of Service – Demsim

1. Acceptance of Terms

By creating an account, accessing, or using Demsim, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Demsim is a classifieds marketplace mobile application that allows users to buy, sell, and exchange goods and services. The Service facilitates connections between buyers and sellers but is not a party to any transactions between users.

3. Account Registration and Facebook Login

3.1 Account Creation

To use certain features of the Service, you must create an account. You may create an account by:

• Registering directly with Demsim using your email address, or
• Using Facebook Login to authenticate with your Facebook account

3.2 Facebook Login

When you choose to use Facebook Login:

• You authorize Demsim to access certain information from your Facebook account as permitted by the permissions you grant
• Your use of Facebook Login is also subject to Facebook's Terms of Service and Privacy Policy
• You are responsible for maintaining the security of your Facebook account
• You may revoke Demsim's access to your Facebook account at any time through your Facebook account settings

3.3 Account Requirements

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate, current, and complete
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 18 years old (or the age of majority in your jurisdiction) to use the Service

4. User Conduct and Responsibilities

4.1 Prohibited Activities

You agree not to:

• Post false, misleading, or fraudulent listings
• List items that are illegal, stolen, or infringe on intellectual property rights
• Engage in any fraudulent, deceptive, or illegal activity
• Harass, abuse, threaten, or harm other users
• Post spam, unsolicited messages, or advertisements for other services
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Attempt to gain unauthorized access to any portion of the Service
• Violate any applicable local, state, national, or international law or regulation
• Post content that is defamatory, obscene, pornographic, or otherwise objectionable
• Collect or store personal data about other users without their consent

4.2 Content Standards

All content you post must:

• Be accurate and truthful
• Comply with all applicable laws and regulations
• Not infringe on any third-party rights (intellectual property, privacy, etc.)
• Not contain viruses, malware, or other harmful code
• Be appropriate for a general audience

5. Transactions Between Users

Demsim is a platform that facilitates connections between buyers and sellers. We are not a party to any transactions between users. You acknowledge and agree that:

• All transactions are between you and other users, not with Demsim
• Demsim does not guarantee the quality, safety, or legality of items listed
• Demsim does not guarantee the accuracy of listings or user information
• You are solely responsible for verifying the identity of other users and the authenticity of items
• You are solely responsible for negotiating terms, payment, and delivery
• Demsim is not responsible for any disputes, losses, or damages arising from transactions between users
• You use the Service at your own risk

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of any content you post on the Service. However, by posting content, you grant Demsim a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and providing the Service.

6.2 Content Removal

We reserve the right to remove, edit, or refuse to post any content that violates these Terms or that we determine, in our sole discretion, is objectionable or harmful to the Service or other users.

6.3 Demsim Intellectual Property

The Service, including its design, features, and functionality, is owned by Demsim and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Fees and Payments

Some features of the Service may require payment of fees. If you choose to use paid features:

• You agree to pay all fees associated with your use of the Service
• Fees are non-refundable unless otherwise stated or required by law
• We reserve the right to change our fee structure at any time with reasonable notice
• All fees are exclusive of applicable taxes, which you are responsible for paying
• Payment processing is handled by third-party payment processors subject to their terms and conditions

8. Termination

8.1 Termination by You

You may terminate your account at any time by deleting your account through the app settings, using our account deletion form, or by contacting us at support@demsim.com.

8.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent, illegal, or harmful activity
• We are required to do so by law
• Your account has been inactive for an extended period
• We determine, in our sole discretion, that termination is necessary to protect the Service or other users

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and content, though some information may be retained as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will survive.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEMSIM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9.3 Third-Party Services

The Service may integrate with third-party services, including Facebook Login and payment processors. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Demsim, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable law or regulation
• Content you post on the Service
• Transactions you enter into with other users

11. Dispute Resolution

If you have a dispute with another user, you agree to attempt to resolve the dispute directly with that user. Demsim is not obligated to resolve disputes between users but may, in our sole discretion, assist in dispute resolution.

For disputes between you and Demsim, you agree to first contact us at support@demsim.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, you agree that any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending you a notification through the Service or via email (for material changes)

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.

Demsim is an independent service and is not affiliated with, endorsed by, or sponsored by Facebook, Inc. Your use of Facebook Login is subject to Facebook's terms and policies. We are not responsible for Facebook's services or any issues arising from your use of Facebook Login.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Demsim regarding the Service and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

14.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Demsim operates, without regard to its conflict of law provisions.
